Its probably going to fit, just make sure to switch out the standoffs to fit your new motherboard and replace the I/O plate with the one that comes with the motherboard and you should be fine. Oh and one more thing, I would buy it at Newegg seeing as it is half the price there and they are one of the most reputable online companies out there.

$50.99 + 5.99 shipping for the exact same model seen at tigerdirect |

Considering your case is an Mid-ATX, then yes, it'll fit that Micro-ATX. The only thing I'm concerned about is the alignment of the slot bays. You might not be able to put in the PCI cards and the graphics card because the slits at the back of the case for slots probably won't be aligned along with your mobo's PCI/AGP slots. The fact that I'm in doubt because your case is a Compaq. Compaq tends to make things differently because they don't want to be replaced. All they'd allow you to do is upgrade the hard drive, memory, etc.. But not the case, the motherboard, nor the BIOS. That's why they have their own Windows/back-up CDs which wouldn't work on other computers.
That's just my doubtness. I just want to warn you and be prepared to get a new computer case that is standard just in case it doesn't work out well for you. I'd also recommend you to get a new PSU (power supply) since the power supply from your Compaq is probably for AMD motherboards only. Also, 200 watts may not be enough for your new Intel processor and along miscellaneous stuff. I have a friend who runs a P4 3.Ghz with a 250W power supply and the computer would shut down on him depending on the usage. 400W and higher is recommended.
Well, I don't know if you're already aware or have made plan of this coz all you said was you wanted to get a new motherboard and processor and wanted to know if it'll fit the case o_o;. It looks like your Compaq's integrated video graphics card too. Your new motherboard won't come with one. |

Both of your specification really looks bad to me. One of them are using the LGA775 slots that support Celeron and another with Athlon XP, which both are nearly going to be labelled as obsolete pretty soon. Both are also using RAMs that will be going to be hard to grab if it malfunctions.
May I ask what is your budget range when you want to buy your PC? And make sure to state what kind of monitors you are getting? I am asking that because I need to see whether you will have enough budget for a CRT or LCD.
Another question is: What are you using the PC for? If you can tell me some rough idea what you will be using it for, I can suggest better parts at lower price for you. _________________

| No, you don't have to reinstall. You just may need a different copy so you can repair, reformat, or reinstall Windows. Your new motherboard should come with its own drivers and you may hafta install those once you get it set up. |

Ah~ I thought you want to build the system from scratch....
Can you let me know what parts that you have currently that you will not be changing? From those 2 links that you gave me, I presume that you wanted to change the processor too since you are looking at 2 different processors with different socket system.
Sorry if I am asking too much things. I wanted to make sure that all the parts that you are having currently will fit into the new board with no known conflicts that can leave you in frustration ^_^ _________________

Thanks for all the help but i was snooping around the net and sent out an email to my uncle (hes a computer technician) and he said that i could buy a new mother board for my cpu but i would also need a new windows disk since the one i have is already on my other computer. i thought this information really helped and i will use it when i do get ready to build a toatally new system from scratch. _________________ Want advice DONT WORK AT WALMART...
